​In the early stages of a venture, legal architecture is often treated as a secondary concern to product development. However, structural flaws in corporate governance, IP assignment, or equity allocation frequently become terminal during Series A due diligence.

​To address these technical bottlenecks, we are hosting Monolith Law Office, with Senior Associate, Isamu Yoshioka.

• ​Credibility: Is the Kabushiki Kaisha (KK) truly a non-negotiable requirement for institutional capital in Japan? What is the actual delta in cost and complexity when transitioning from a Godo Kaisha(GK) during a raise?
• ​Enforceability of equity: When a co-founder departs, what is the practical reality of share recovery? Beyond the presence of a shareholders’ agreement, how much force can actually be applied when a signatory refuses to cooperate?
• ​IP integrity: Does "ownership" exist without formal assignment? To what extent do VCs discount a startup’s valuation when IP history is relegated to Slack logs and verbal understandings?
• ​Governance: Does the personal liability exposure of Japanese directors create a fundamental misalignment with the board participation models of overseas VCs?
• ​Control: How do "Drag-along" rights and anti-dilution clauses impact founder equity during a down-round? Are these provisions a standard safety net or a realistic threat to long-term autonomy?
• ​Operational permissibility: Where is the line for "sweat equity" and sub-minimum wage compensation in Japan? Can domain acquisition and a first-to-file trademark strategy actually defend a service against a pre-existing market incumbent?
